G Medical Innovations Holdings Ltd. (“G-Medical”, “Company” “we” or “us”) respects the privacy of the visitors and/or users of its Site (“User” or “you”), and is committed to protect the personal information that its Users share with it. We believe that you have a right to know our practices regarding the information we may collect and use when you visit and/or use our Site. Capitalized terms which are not defined herein, shall have the meaning ascribed to them in our Terms of Use (“TOU”), into which this Privacy Policy is incorporated thereto by reference.

1. Your Consent (PLEASE READ CAREFULLY!)

BY ENTERING, CONNECTING TO, ACCESSING OR USING THE SITE, YOU AGREE TO THE TERMS AND CONDITIONS SET FORTH IN THIS PRIVACY POLICY (THE “PRIVACY POLICY”), INCLUDING TO THE COLLECTION AND PROCESSING OF YOUR PERSONAL INFORMATION (AS DEFINED BELOW). IF YOU DISAGREE TO ANY TERM PROVIDED HEREIN, YOU MAY NOT ACCESS AND/OR USE THE SITE. FOR AVOIDANCE OF DOUBT, YOU HEREBY CONSENT TO THE COLLECTION, PROCESSING, TRANSFER AND USE OF YOUR PERSONAL INFORMATION. YOU ALSO ACKNOWLEDGE AND CONFIRM THAT YOU ARE NOT REQUIRED TO PROVIDE US WITH YOUR PERSONAL INFORMATION AND THAT SUCH INFORMATION IS VOLUNTARILY PROVIDED TO US.

2. Which information we may collect on our Users?

We may collect two types of data and information from our Users:

a. The first type of information is non-identifiable and anonymous information (“Non-personal Information”). We are not aware of the identity of the User from whom we have collected the Nonpersonal Information. Non-Personal Information is any unconcealed information which does not enable identification of an individual User, and which is available to us while such User is entering and/or using the Site. Non-personal Information which is being gathered consists of technical information, behavioral information and aggregated information, and may contain, among other things, the activity of the User on the Site , type of operating system, type of the User’s mobile device and its operating system and version, User’s ‘click-stream’ on the Site, type of browser and keyboard language, the hardware specifications of such device (including screen resolution), time spent on various screens of the Site, etc.
b. The second type of information is individually identifiable information (“Personal Information”). This information may identify an individual or may be of a private and/or sensitive nature.
• Users of the Site automatically provide their IP address mainly for enhancing the User’s experience and for geo-location and security purposes as further detailed below.
• Personal Information is collected from the details the Users provide in the Contact Form on the Site which includes, inter alia, the User’s name, e-mail address and telephone number. The User can optionally provide via the Contact Form any text he/she wishes to insert into the “message box”. Once your contact details received by us, our representative will contact you for further communication. Our representative may collect additional Personal Information from you.

For avoidance of doubt, any Non-Personal Information connected or linked to any Personal Information shall be deemed as Personal Information as long as such connection or linkage exists.
We do not collect any Personal Information from you or related to you without your approval, which is obtained, inter alia, through your active acceptance to the Terms of Use and the Privacy Policy.

3. How Do We Collect Information on Our Users?

There are a few methods that we use:

a. We collect information through your entry and use of the Site. In other words, when you are using the Site we are aware of it and may gather, collect and store the information relating to such usage.
b. We collect information which you decide to provide us voluntarily. For example, we collect Personal Information when you contact us through the Contact Form.

We may gather, collect and store such information either independently or through the help of our authorized third-party service providers as detailed below.

4. What are the Purposes of the Collection of Information?

Non-personal Information is collected in order to:

1. Use it for statistical and research purposes and for customization and improvement of our Site.
2. Enhance the User’s experience while using the Site.

Personal Information is collected in order to:

1. Provide the Users with commercial materials, updates about G-Medical’s developments, new offerings, news regarding our Site and services, etc.
2. Provide Users with updated information regarding our products and services.
3. Be able to contact Users upon demand.
4. Determine general geolocation information (i.e., country) from which the User’s computer is connected to the Internet in order for us to know the general location of our Site’s Users as well as in order to safeguard our Site

5. Sharing Information with Third Parties

G-Medical will not share any Personal Information it collects with any third party. Notwithstanding, GMedical may share Personal Information in the following cases: (a) to satisfy any applicable law, regulation, legal process, subpoena or governmental request; (b) to enforce the Terms, including investigation of potential violations thereof; (c) to detect, prevent, or otherwise address fraud, security or technical issues; (d) to respond to User’s support requests; (e) to respond to claims that contact information (e.g. name, e-mail address, etc.) of a third-party has been posted or transmitted without their consent or as a form of harassment; (f) to protect the rights, property, or personal safety of G-Medical, its Users, or the general public; (g) when G-Medical is undergoing any change in control, including by means of merger, acquisition or purchase of all or substantially all of its assets; (h) to collect, hold and/or manage your Personal Information through GMedical’s authorized third parties service providers (including, as applicable, their affiliates as necessary to provide us with the requested services), as reasonable for business purposes, which may be located in a country that does not have the same data protection laws as your jurisdiction; (i) to store or process your Personal Information through G-Medical’s affiliated companies, which may be located in a country that does not have the same data protection laws as your jurisdiction. G-Medical requires its affiliated entities to agree to processing your Personal Information in compliance herewith; (j) cooperate with third parties for legitimate business purposes, including without limitation, enhancing the User’s experience; and/or (k) pursuant to your explicit approval prior to the disclosure.

For avoidance of doubt, G-Medical has the unrestricted right to use Non-personal Information for any purpose and to transfer and disclose Non-personal Information to third parties at its own discretion.

6. Deletion or Modification of Personal Information

In any event, if for any reason you (or any person) wish to delete or modify Personal Information, please send us an e-mail with adequate detail of your request to: infoservice@gmedinnovation.com, and we will make reasonable efforts to modify or delete any such Personal Information pursuant to any applicable privacy laws. Note that we may retain and use your Personal Information after termination of your Account, for as long as reasonably required for the purposes of which such Personal Information was collected, including without limitation, for future analytics and analysis, in order to comply with our legal or business requirements or obligations, to resolve disputes and/or to enforce our Terms, all as permitted under any applicable privacy laws.

Aggregate and/or anonymous information may remain on G-Medical servers indefinitely.

7. Minors

The Site is intended for Users over the age of thirteen (13). Therefore, G-Medical does not intend and does not knowingly collect Personal Information from children under this age. We reserve the right to request proof of age at any stage so that we can verify that minors under this age are not using the Site.

8. Security

We take reasonable measures to maintain the security and integrity of our Site and prevent unauthorized access to it or use thereof through generally accepted industry standard technologies and internal procedures. The Personal Information is hosted on Netvision servers which provide advanced strict security standards (both physical and logical). In addition we employ highly secure services design and implementation using encryption and architectures mechanisms. Please note, however, that there are inherent risks in transmission of information over the Internet or other methods of electronic storage and we cannot guarantee that unauthorized access or use will never occur. G-MEDICAL SHALL NOT BE RESPONSIBLE OR LIABLE FOR UNAUTHORIZED ACCESS, HACKING, OR OTHER SECURITY INTRUSIONS OR FAILURE TO STORE OR THE THEFT, DELETION, CORRUPTION, DESTRUCTION, DAMAGE, OR LOSS OF ANY DATA OR INFORMATION.

9. Third Party Service Providers

While using the Site we may be using third party service providers, who may collect, store and/or process the information detailed herein. G-Medical uses commercially reasonable efforts to engage with third parties that post a privacy policy governing their collection, processing and use of non-personal and personal information and/or that are contractually obligated to such governance.

10. International Data Transfer

We may transfer information collected about you, including Personal Information, to affiliated entities, or to other third party service provides (as provided herein) across borders and from your country or jurisdiction to other countries or jurisdictions around the world. Please note that we may transfer such information to a country and jurisdiction that does not have the same data protection laws as your jurisdiction, and you consent to such transfer of information.

11. Cookies and Other Tracking Technologies

When you access or use the Site, G-Medical and/or our third party service providers may use industry-wide technologies such as “cookies”, “Ad-id”, “pixel” or other similar technologies, which store certain local information on your device or on the Site (“Cookies”), which may enable, inter alia, automatic activation of certain features and make the User’s experience and usage simpler, more relevant, convenient and effortless. Such information is locally stored on your computer or on your device. G-Medical and/or our authorized third party service providers may access such information. G-Medical and/or our authorized third party service providers may use both session cookies (which expire once you close the web-browser) and persistent cookies (which stay on the User’s device until he/she deletes them). Such Cookies may store nonpersonal information (such as the different pages viewed by a User within the Site). It is easy to prohibit and/or delete the Cookies, inter alia, through the Settings option of your device or web-browser. Most platforms will allow you to erase cookies from your computer’s hard drive or from you device, block acceptance of cookies, or receive a warning before a cookie is stored. In order to erase or disable the Cookies you may use the settings option of your device or according to the specific instructions provided by the third party service provider’s privacy policy and terms of use. However, if you block or erase cookies, or change the settings of your device, your online experience may be limited. Third-party cookies usually store only a Non-personal Information, such as the web pages you have visited, the duration of your browsing, etc. GMedical does not control such third party service providers.

12. Direct Marketing

You hereby agree that we may use your contact details for the purpose of informing you of products, services and other updates and new features which may be of interest to you, as well as for sending you other materials to the e-mail address provided by you. You may withdraw your consent by sending a written notice to GMedical by e-mail to the following e-mail address: infoservice@gmedinnovations.com, or alternatively following the instructions for removing yourself from the mailing list which are available in the e-mail transmitted to you.

13. Changes to the Privacy Policy

The terms of this Privacy Policy will govern the use of the Site and any information collected with respect thereto. G-Medical reserves the right to change this policy at any time, so please re-visit this page frequently. In case of any material change, we will make reasonable efforts to post a clear notice on the homepage of the Site or we will send you an e-mail regarding such changes to the e-mail address that you may have provided us with. Such substantial changes will take effect seven (7) days after such notice was provided on our Site or sent by e-mail, whichever is the earlier. Otherwise, all other changes to this Privacy Policy are effective as of the stated “Last Revised” date and your continued use of the Site after the Last Revised date will constitute acceptance of, and agreement to be bound by, those changes. In the event that the Terms should be amended to comply with any legal requirements, the amendments may take effect immediately, or as required by the law and without any prior notice.

Dror Nuriel-Roth

EVP of US Operations

Ms. Nuriel-Roth has 13 years of experience in the US Healthcare industry. A former SVP US Operations at LifeWatch Services Inc, for seven years where she managed every aspect of a medical device company and brought significant efficiencies to operations in the Clinical, Reimbursement, Managed Care, Logistics, and Customer Service departments. Ms. Nuriel-Roth also specializes in healthcare insurance, reimbursement and managed care. Dror holds a Bachelor’s degree in Business Management and Economics as well as MBA in Business Management, Finance and Marketing from the Interdisciplinary Center in Hertzelia (Reichman University).

Mr. Benny Tal

VP R&D and CTO

Over 30 years of experience in Medical devices, Electronics Development, Engineering and Operation. Benny holds a B. Sc in Electrical Engineering and computers & M.B.A from Ben-Gurion University, Israel.
Throughout the last 25 years Benny has played a major role as VP Engineering, VP R&D, VP Operation, VP for OEM/ODM products, in driving, developing, Inventing, and executing the products in CardGuard, LifeWatch and in the last 5 years, bringing the skills and experience in IOT, and patient monitoring in Gmedical ,developing Special Sensors, mixed ASIC, RF & Hybrid modules, Overseeing Algorithms for embedded medical sensors.

Mr. Kobi Ben-Efraim

Controller

Mr Ben-Efraim is an experienced senior CFO of global companies with more than 20 years’ experience in the finance and accounting domain. Mr. Ben-Efraim has served in Israeli high tech companies like DSPC Group (a NASDAQ-traded company), where he held a number of positions, including Chief Accountant of the group, and El-Op where he was Deputy Controller in charge of tax and accounting. From 2003, Mr. Ben-Efraim served as the Corporate CFO in a global medical devices manufacturer and services provider company, where amongst other things, he was in charge, of the cash flow management, annual budget approvals, financial reporting to the stock exchange and analysts corporate presentations. Mr. Ben-Efraim holds a B.A in Economics and Accounting from Tel Aviv University, and is a Certified Public Accountant (IL).

 

Mr. Urs Wettstein

Non-Executive Director

Mr Wettstein, citizen of Switzerland, was an advisor and investor in numerous pre-IPO investments since 1985 and was instrumental for several successful IPO’s in Switzerland. He operated his own accounting, auditing and tax consultancy firm in Zurich, Switzerland from 1983 to 2007. From 1976 to 1982, he was an auditor and tax consultant with Coopers & Lybrand AG, Zurich. Urs Wettstein graduated as a Certified Public Accountant. From 2001 to 2014 he served as non-executive Vice Chairman of the Board of Directors of LifeWatch AG, a company listed on the Swiss Stock Exchange.

Dr. Brendan de Kauwe

Non-Executive Director

Dr. Brendan de Kauwe has served on our board of directors since February 2017, and was the Company’s Corporate Advisor and Lead Manager to the Initial Public Offering (IPO) on the Australian Securities Exchange (ASX). Dr de Kauwe studied a Bachelor of Science in Pharmacology and Physiology and holds a Bachelor of Dental Surgery from the University of Western Australia, with Post Graduate certifications in Oral Surgery and Implantology. He also holds a Post Graduate Diploma in Applied Finance, majoring in Corporate Finance, and is an Australian Securities and Investments Commission complaint (RG146) Securities Advisor. Dr de Kauwe is an experienced operations and transaction focused executive with key skills in creating company value through strategic partnerships and mergers and acquisitions, with particular experience in the biotechnology, life sciences and technology sectors. He is also a Director of a private investment banking firm with vast experience in corporate restructuring and recapitalisations, mergers and acquisitions, as well as public market transactions and equity capital markets in both Australia and internationally. Dr de Kauwe has served as Chairman and/or Director of numerous ASX listed companies.

 

Dr. Shuki Gleitman

Non-Executive Director

Dr. Gleitman is the Chairman of the Guangzhuo Israel Biotech Fund, Chairman of the Board of Directors of Capital Point Group, a Board member and Chairman of the audit and financial committees of Elbit Systems (NASDAQ, TLV traded), Chairman of the YoYa Group, Senior Advisor to the World Bank (national policy for innovation) and Senior Strategy Advisor to Serbia Innovation Fund. Prior to holding the positions set out above, Dr. Gleitman was the Chief Scientist and Director General of Israel’s Ministry of Industry and Trade, where he managed all of the Israeli Government technological programs. In the course of his four-year tenure, Dr. Gleitman was responsible for allocating over $1.5 billion in grants in the framework of promoting research and development activities in the Israeli hightech industry. Dr. Gleitman also served as the CEO of Ampal Investment Group (NASDAQ: AMPL), where he was responsible for the investment of over $200 million in hightech ventures. During his tenure at Ampal, Dr. Gleitman led a $330 million joint venture with Motorola Israel founding Mirs Communications Ltd., Israel’s fourth largest cellular operator. Dr. Gleitman holds a Ph.D. (with distinction), M.Sc. (with distinction) and B.Sc. in Physical Chemistry, from the Hebrew University of Jerusalem.

Professor Zeev Rotstein

Non-Executive Director

Professor Rotstein is an internationally recognised cardiologist and expert in health management systems, with decades of experience across consultancy and academia. Currently he serves as  the  Director General, Hadassah  Medical  Organization; Associate  Clinical Professor, The  Hebrew  University  of  Jerusalem; Associate Clinical Professor, Sackler School of Medicine Tel Aviv University; and Associate Clinical Professor, The Hebrew University of Jerusalem. Professor Rostein has acted as an expert consultant in the construction of several medical facilities throughout the world including Centro Medico La Paz, Equatorial Guinea (major referral hospital in Equatorial Guinea), the Lagoon Hospital, Accra, Ghana and currently the Moscow Medical Cluster Oncological Centre and Polyclinic of Skolkovo, Moscow. Professor Rotstein trained in medicine at Tel Aviv University, and has held fellowships at the New York Department of Health, Tufts University, and Johns Hopkins Medical Centre School of Hygiene and Public Health.

Dr. Kenneth R. Melani

Non-Executive Chairman

Dr. Kenneth Melani has over 30 years’ experience in the health care industry as a provider, supplier and insurer. He began his career in 1981 as a practicing physician growing his internal medicine practice into the largest multi-specialty physician practice in Western Pennsylvania. In the mid 1980’s he helped start a physician hospital organisation, West Penn Cares, where he became the CEO. In this role he prepared the Organisation for managed care risk sharing contracts (known as ACO’s today). In addition, he started seven successful for-profit health services businesses. In 1989 he joined Highmark Inc. (formerly known as Blue Cross of Western Pennsylvania) where he spent the next 23 years of his career in a variety of positions including Chief Medical Officer, President of Health Related Services, and EVP, Strategy and New Business Development. In 2003, he was named the President and CEO of Highmark Inc. During his nine and half year tenure he grew the company into one of the largest and most diversified health care companies in the United States, serving over 32 million individuals.

Dr. Yacov Geva

President and CEO

A well-known pioneer in the industry of medical technologies and remote patient monitoring services. As the founder of LifeWatch AG (former Card Guard AG and Card Guard Scientific Survival Ltd.) he successfully led the company to an IPO. Up until 2014, Dr. Geva was a member and the Chairman of the Board of Directors and Corporate CEO of LifeWatch AG. During 1979 to 1989, Dr. Geva served as a Chief Mechanical Engineer with Vishay Israel – a subsidiary of Vishay Intertechnology, USA. Dr. Geva holds a B.Sc in Mechanical and Nuclear Engineering, a Ph.D. (with honours) in Business Administration from the International School of Management, Paris and an honorary doctorate from Oxford Brooks University. Dr. Geva is also a senior member of the royal society of medicine in the UK (RSM).
